to the said Agreement, be so modified as to allow greater freedom of action to either contracting party in cases where that condition is likely to be a bar to successful negotiation of business coming within their respective fields of operation,
It is hereby agreed as follows :---
In cases where the introduction of a third party is calculated to prejudice the success of negotiations, business, coming within the scope of the Agreement of 27th July, 1895, may be entertained and negotiations entered upon by either Bank alone, with or without notice to its partner; and should it appear in the course of such negotiations that the conditions imposed upon the business preclude joint negotiation and/or joint signature by the two Banks in terms of Clause 3 of their Agreement, the negotiating Bank may conclude and sign the agreement under negotiation, his partner being entitled to all rights or participation under the Agreement of the 27th July, 1895, other than those implied by joint negotiation and joint signature.
It is understood that both parties to the Agreement will continue their endeavours to obtain joint signature to any contract as formerly, but when, for any reason, this is found to be impracticable, then the Bank signing the Contract shall by the insertion of an additional clause, ensure to the other party to the Agreement the same rights as regards the taking over, the issue and service of the loan, which it has obtained under the Contract for itself, and also the authority required for obtaining official quotation in their respective markets.
